Welcome to Nudge AI by Kyrix Ltd ("Nudge AI", "we", "our"). By accessing or using our platform, services, and products (collectively, "Services"), you ("User", "you") agree to these Terms of Use ("Terms"). Please read carefully.

By using our Services, you confirm your acceptance of these Terms. If you do not agree, you must cease using our Services immediately.

You must be at least 18 years of age and possess the legal authority to enter into this agreement on behalf of yourself or the entity you represent.

Nudge AI provides AI-driven digital campaign strategies, insights, recommendations, and content tailored to your business objectives. Our Services may evolve, improve, or change over time at our sole discretion.

Services may require payment based on subscription plans or ad spend fees as detailed on our pricing page. Payment is due upfront, monthly in advance, unless otherwise agreed. All fees are non-refundable unless explicitly stated.

All intellectual property rights associated with Nudge AI, including but not limited to software, content, prompts, methods, designs, and outputs, remain the exclusive property of Kyrix Ltd. Users obtain a limited, revocable license to use the outputs generated for their business purposes only.

You agree to:

• Provide accurate, complete information required for service execution.
   
• Maintain confidentiality of login credentials and access details.
   
• Promptly review and approve campaign materials if applicable.
   
• Comply with applicable laws and regulations when utilizing our Services.
   

To the fullest extent permitted by law, Nudge AI will not be liable for indirect, consequential, or incidental damages arising from the use or inability to use our Services, even if advised of the possibility of such damages. Our maximum aggregate liability shall not exceed the total amount paid by you in the twelve months preceding any claim.

Either party may terminate this agreement at any time. Upon termination, you must immediately cease using our Services, and all outstanding fees become immediately payable.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our Services constitutes acceptance of revised Terms.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
